Because ILA requires a lawyer to be entirely "independent" of the other parties involved, it is not a mere rubber-stamping exercise but a formal professional service. The investment required for ILA is primarily driven by the complexity of the document and the potential liability the lawyer assumes by certifying that you have been fully informed.
A. The Time Commitment: Beyond the Meeting
While the face-to-face (or virtual) meeting typically lasts between 30 and 90 minutes, the total time a lawyer spends on your file is often double that. Before you walk into the office, the lawyer must conduct a thorough review of the agreement (whether it is a 50-page separation agreement or a 5-page personal guarantee) to identify "trap" clauses or lopsided terms. Following the meeting, the lawyer must draft a formal Certificate of Independent Legal Advice and detailed file notes to document the session, bringing the total time commitment to roughly 2 to 4 hours for standard matters.
B. Cost Structure
For straightforward documents, such as mortgage guarantees, simple waivers and Guarantees Acknowledgement Act Certificates, our law firm typically charges a flat fee on the basis of the particular circumstances. However, where documents are subject to increased complexity (i.e., domestic contracts like prenuptial or separation agreements), which carry heightened emotional and financial stakes, our legal work is dictated by the amount of time spent thereon, based on our own hourly rate and an external charges. Furthermore, where we are asked to negotiate changes to the document rather than just explaining it, this too is charged at our hourly rate, together with external charges.
C. Factors That Increase Costs
Some of the more frequent variables that impact the price of attaining ILA include:

Negotiation: If you decide the terms are unfair and want our law firm to contact the other party’s legal counsel to demand revisions.

Missing Disclosure: Where required supporting documentation is not made available at the outset, pursuing it and addressing its absence represents added time and cost (i.e., not having the requisite financial disclosure (proof of income and assets) in various family law matters).

Urgency: When you are seeking "same-day" or "emergency" ILA, such that we are required to upend our own schedule (when that is even possible), it is our practice to charge a premium or rush fee in such circumstances.

Complexity: Corporate guarantees involving multiple interlocking companies or international assets require more intensive study, which in turn represents significant added time and cost.
D. Administrative Fees and Disbursements
In addition to the professional fees that we charge, you should appropriately recognize and budget for disbursements and administrative costs. These can include file opening fees, courier charges, copying/printing charges, third-party search fees, costs for secure document storage, and applicable sales taxes. In highly complicated matters, with the prior approval of the client, we might seek the input of appropriate experts in the particular field, although this tends to be highly infrequent.
E. Why Your Expenditure on ILA Matters
Though the cost of ILA may feel like an annoying closing cost, it most often is an unavoidable cost required to complete the particular transaction and have the required document fully completed so as to move on. To the extent that you might control costs, with appropriate preparation and minimizing the challenges that can avoid the increase in our own time expenditure; nevertheless, the requisite time and cost involved in our provision of independent legal advice is not something that you can seek to avoid or undercut, given the value of unbiased and informative independent legal advice.
