Strategic Legal Counsel: Corporate Transactions, Technology, Tax Law, and Employment Matters

Although the perception might be that I am purely a corporate-commercial lawyer, I have sought to apply my 25+ years of legal experience in corporate business law and taxes, together with my passion for technology, into what I see as a very distinctive legal practice that is capable of serving my clients highly effectively. As such, my legal work is not limited to business development, corporate transactions, contracts and tax planning (even though these remain core areas of my legal practice), but has also branched out into certain very specific legal niches that are heavily interconnected into these corporate and commercial legal avenues, including:

  • Technology Business Law - Driven by my own passion for technology and the Internet, I have sought to facilitate the effective pursuit of technology-driven business matters with the law, including meeting the challenges associated with the rapid advancement of technology (incl. artificial intelligence) to the detriment of legal obligations, which can have serious unintended consequences (oftentimes of a financial nature) that others fail to recognize due to their overreliance on the technology, without proper appreciation of the mathematical calculations demanded by the law.

  • Employee Law - This is a very niche aspect of employee law, although highly consequential, and is focused on aspects that others have not necessarily considered - probably because they have not sought to look outside of the proverbial box. Instead, my specific area of employment law (which is applicable to terminated / fired employees) emanates from the intersection of mathematical algorithms and statutory employment standards legislation (which naturally sounds bloody awful and probably explains why no one has had an interest in delving into it, even though it is highly consequential).

  • Wills + Estate Planning - Here I get to work the most closely with people, dealing with their personal finances (and business succession) in the event a tragic or untimely incident, so as to devise the appropriate estate plan; which can range from a basic will (with a power of attorney and personal directive) to more complex estate planning (and business succession planning) that aims to legitimately minimize tax liabilities and meet other legal challenges.

With respect to my legal work today, I look to draw upon my extensive legal experience in New York City as a corporate securities attorney on Wall Street, as well as working at a corporate business law firm in Ontario, as I now operate my own legal practice, which includes working with business enterprises engaged in commercial activities in Alberta and Ontario. This includes the representation of both established and emerging businesses in merger, acquisition, divestiture and related reorganization transactions, as well as working with all forms of business contracts, together with business succession planning and tax planning.

My legal practice is presently focus on the provinces of Alberta and Ontario, as I am admitted to practice law in both provinces, being a member in good standing of both the Law Society of Alberta and the Law Society of Ontario. And it is my personal passion of extracting the most out of the law in furtherance of the legal pursuits that I do undertake, ranging from corporate business to taxes and technology to wills and estate planning to dire employee situations when fired or terminated (that present serious legal issues due to the intersection of mathematical algorithms and statutory employment standards legislation).
